Ethics of business

ETHICS CONDUCT

Our company makes an effort to develop by improving a progressive and efficient business activities with all persons concerned including shareholders and strive to be truthful company by accomplishing duties and responsibilities as a listed company.

Our company respects all domestic, international laws and market order, and takes the initiative and sets an example for others to establish the public order and esteems social value and customs and contributes to the country and development of society through the social contribution activities.

Thus, our company establishes a code of ethics and practices actively in order to develop sound and fair company culture.


Ⅰ. Position for shareholders and investors

1. Protect the rights of shareholders

- The company should respect the rights of shareholders and the shareholders’ legitimate needs and suggestions.
- The company should show the management information in good and establish the mutual trustful relationships with shareholders and investors, and make efforts for the maximization of shareholder profits.

2. Equal treatment

- The company should treat all shareholders including minority shareholders fairly and equally.
- The company should always take management decision considering the interests of all shareholders, so the interests and rights of minority shareholders not to be unreasonably infringed.

3. Actively provide information

- The company should record and manage the accounting data in accordance with generally accepted accounting principles, so provide the financial condition and business performance management transparently.

Ⅵ. The basic ethical of the employees

1. Establishment of a sound corporate culture

- The employees should agree to company’s management philosophy and purpose and value, so perform each given mission following company duty policy.
- The employees should create organizational culture based on smooth communication between the senior-junior & colleagues in the company and mutual trust.
- The employees should accomplish a given doing their best in a fair way, and all relevant laws involving company and regulations of the company.

2. Prohibit conflicts of interest

- The employees should make efforts to avoid any activity or relationship which is conflict with company, and think or act for the company’s profits if understand the company and the conflicting efforts to avoid any activity or relationship and understanding of the company and the individuals or departments, if the conflict between the interests of the company should first think and act.

3. Blackout inside information

- The employees should not trade stocks by using acquired internal information from the business.
- The employees should not provide undisclosed core information to 3rd party without through legal procedures.

4. Protect company assets and sensitive information

- The employees should protect the company's real estate, intellectual property and trade secrets etc. and should not use it for private purposes.
- The employees should not act unfair trade practices by using acquired undisclosed information from company for pursuing private profits using position.
- The employees should not leak outside important information which may affect on the interests of company.

5. Prevention of Sexual Harassment

- The employees should not use words or behavior which hurts healthy relationships with collages including physical, verbal and visual language or actions which are recognized as causing sexual humiliation.

6. Prohibits political involvement

- The employees should not try political activities during working hours, and not use the company's organization, personnel and property for political purposes.
- The employee’s right to vote and political views are recognized but they should not be misunderstood their each political views or political involvement as the company's position.

7. Prohibition of money and acceptance of entertainment

- The employees should not be provided money, gifts or entertainment from interests like customers.
- The employees should not provide money, gift or entertainment out of the recognition in social common notion from the interests like customers related to duty of company.
- The employees should not receive money, excessive gifts & entertainment between each other.

8. Compliance with the Code of Ethics

- All employees should observe the ethics case faithfully and if it is violated, they must responsible for the acts.
- The employees should report when they are forced to act contrary to ethics or recognize wrongful conduct to the ethics department.
- The employees should prevent recurrence of violation of code of ethics through a strict clarifying and education.

Osung Advanced materials acquired ISO 27001 as international information security in December 2008, and defined supplementation weak points and threat points of all tangible / intangible assets of company based on information security management system and contributed future of company and national interest through the efficient improvement.

The information privacy principles of Osung Advanced materials is divided into physical / managerial / technical security.
